Who reviews, and is filing mandatory

Mergers and acquisitions in Turkey are reviewed by the Turkish Competition Board (Rekabet Kurulu), the decision-making body of the Competition Authority. The thresholds sit in Article 7 of Communiqué No. 2010/4, which the Authority amended by Communiqué No. 2026/2.

The text of Article 7 says that a transaction meeting the tests below needs the Board's permission "in order to gain legal validity" (Turkish: hukuki geçerlilik kazanabilmesi için Kuruldan izin alınması zorunludur). In practice that makes the regime mandatory and suspensory: a notifiable transaction that has not been cleared is not legally valid. See the Official Gazette text, Article 2.

The tests in force since 11 February 2026

A transaction is notifiable if it meets either of two routes. Route 1: the parties' combined Turkish turnover exceeds TRY 3 billion and at least two parties each have Turkish turnover above TRY 1 billion. Route 2: in an acquisition, the Turkish turnover of the transferred assets or activity (in a merger, of at least one party) exceeds the Turkish-turnover limb set out in Article 7(1)(b), and the worldwide turnover of at least one other party exceeds TRY 9 billion.

Both routes are turnover tests. The Article 7 text read for this page contains no market-share test.

Technology undertakings

Art. 7(2) of Communiqué 2010/4, as replaced by Art. 2 of Communiqué 2026/2, replaces only the TRY 1 billion limbs of Art. 7(1)(a) and (b) with TRY 250 million for the transferred party. It applies in mergers where at least one party is a technology undertaking resident in Turkey, and in acquisitions of such undertakings. The TRY 3 billion combined limb of Art. 7(1)(a) and the TRY 9 billion worldwide limb of Art. 7(1)(b) are not changed by it. Art. 4(1)(e) of Communiqué 2010/4, as replaced by Art. 1 of Communiqué 2026/2, defines technology undertakings as undertakings, or assets relating to them, active in digital platforms, software and game software, financial technologies, biotechnology, pharmacology, agricultural chemicals and health technologies.

What changed in 2026

Communiqué 2026/2 was published in Official Gazette No. 33165 on 11 February 2026 and entered into force the same day (Art. 8 of Communiqué 2026/2). Beyond the new turnover figures, Communiqué 2026/2 amends Communiqué 2010/4 as follows: it redefines "relevant undertaking" and "transaction party" (Art. 4(1)(a) and (b) of 2010/4, as replaced by Art. 1 of 2026/2); replaces the technology-undertaking definition (Art. 4(1)(e), same Art. 1) and the exception (Art. 7(2), as replaced by Art. 2 of 2026/2); provides that when only a part of a business is transferred, only the turnover of the transferred part counts for the seller (Art. 8(2) of 2010/4, as replaced by Art. 3 of 2026/2); renames Art. 11 of 2010/4 "date of notification" and adjusts when a notification is treated as made (Art. 4 of 2026/2); rewrites the assessment criteria in Art. 13 of 2010/4, including how the Board looks at coordination in joint ventures (Art. 5 of 2026/2); and adds Additional Article 1 to 2010/4 (Art. 6 of 2026/2): reviews already under way are closed by Board decision if a later threshold change leaves the transaction below the new thresholds.

The superseded figures of Communiqué 2022/2 are not restated on this page. The original text is in the Official Gazette of 4 March 2022.

What this page does not cover

This page does not cover turnover calculation rules (including for banks, insurers and other financial institutions), the notification form and filing fees, review periods and deemed-clearance rules, the substantive test, the interaction with Turkish foreign-investment rules, privatisation transactions, or the Authority's guidelines on relevant undertaking, turnover and ancillary restraints. It does not state the Turkish-turnover limb of Route 2 as a number: that limb is in the cited Article 7(1)(b) and is not yet published here.

Frequently asked questions

What are the Turkish merger control turnover thresholds in 2026?

Since 11 February 2026 a transaction needs Competition Board clearance if (Route 1) the parties' combined Turkish turnover exceeds TRY 3 billion and at least two parties each exceed TRY 1 billion in Turkey, or (Route 2) the Turkish turnover of the target meets the Article 7(1)(b) limb and another party's worldwide turnover exceeds TRY 9 billion.

Is a Turkish merger filing suspensory?

Article 7 of Communiqué 2010/4 makes Board permission a condition of the transaction gaining legal validity, so a notifiable transaction cannot validly close before clearance.

Is there a lower threshold for technology companies in Turkey?

Yes. Article 7(2) applies TRY 250 million instead of the higher Turkish-turnover limbs for the transferred party where a Turkey-resident technology undertaking is involved.

When did the new Turkish thresholds take effect?

Communiqué 2026/2 was published in the Official Gazette on 11 February 2026 and entered into force on its publication date.
